Welcome to VOQL. These Terms of Use (“Terms”) govern your download, access, and use of the VOQL mobile application and associated communications services (“the App” or “Services”), provided by VOQL Ltd. (“VOQL,” “we,” “our,” or “us”).

By downloading, accessing, or using VOQL, you agree to be bound by these Terms and by Apple's Licensed Application End User License Agreement (EULA) and Google Play Terms where applicable. If you do not agree to these Terms, please do not download, access, or use the Services.

1.   What VOQL is

VOQL is a voice-first social communication platform designed to help people connect naturally and spontaneously through voice conversations, voice notes, and real-time live audio streaming.

VOQL enables you to record, transmit, receive, transcribe, and listen to voice messages, create peer-to-peer and group conversations, and participate in Live Listening sessions where participants can listen in real time while a speaker records. Features and functionality may be improved, modified, or updated over time.

2.   Eligibility & age requirements

You must be at least 13 years of age (or at least 16 years of age in applicable European jurisdictions) to create an account or use VOQL.

By using VOQL, you represent and warrant that you meet these age requirements and have the legal capacity to enter into these Terms, or that you have obtained the verifiable consent of your parent or legal guardian where required by local law.

3.   Your account & verification

To use VOQL, you must register an account using a valid mobile phone number capable of receiving SMS one-time verification codes (OTPs). You agree to provide accurate, current, and complete information during registration.

You are responsible for maintaining control of your device and safeguarding the credentials and authentication tokens associated with your account. You agree to notify us immediately at voqlapp@gmail.com if you discover or suspect unauthorized access to your account.

4.   Voice messages, transcripts & live listening

VOQL provides interactive voice messaging features including:

  • Voice Notes: Recorded voice messages transmitted to authorized peer-to-peer or group conversation members.
  • Automated Speech Transcriptions: Transcripts generated via automated speech-to-text artificial intelligence systems to assist accessibility, searching, and previewing. Transcriptions are automated and may occasionally contain inaccuracies.
  • Live Listening: A real-time feature that permits members of a conversation to stream your audio live while you speak. You acknowledge that when Live Listen is active, participants may hear your spoken words before you finalize and send the recording. If you abort or cancel recording before sending, the temporary live audio buffer is purged immediately and will not be stored as a sent voice note.

5.   Audio recording laws & consent obligations

Depending on your location and the jurisdiction of your conversation partners, recording spoken conversations or broadcasting live audio may be subject to federal, state, local, or international wiretapping, eavesdropping, and consent laws (including one-party or all-party / two-party consent laws).

Your Responsibility: You are solely responsible for complying with all applicable recording, wiretapping, and consent laws before recording or sharing voice audio through VOQL. You represent and warrant that you will not record or broadcast any individual without any legally required notice or consent.

6.   User content & ownership

You retain complete intellectual property ownership of the voice notes, profile photos, voice pronunciation tags, comments, and messages you submit through VOQL (“User Content”).

By transmitting User Content through VOQL, you grant us a worldwide, non-exclusive, royalty-free, limited license solely to host, buffer, transmit, process, transcribe, display, and distribute that User Content to the specific recipients you designate, strictly for the purpose of operating, securing, and providing the VOQL service. We do not claim ownership of or sell your private voice conversations.

7.   Acceptable use & community conduct

You agree that you will not use VOQL to:

  • Harass, bully, stalk, threaten, intimidate, or impersonate any individual or entity.
  • Transmit illegal, abusive, defamatory, obscene, pornographic, fraudulent, or hateful audio or media.
  • Send unsolicited commercial messages, bulk spam, or unwanted contact requests.
  • Record or distribute private conversations in violation of applicable wiretapping or privacy statutes.
  • Interfere with, tamper with, overload, or disrupt the operation of VOQL servers, real-time live listening infrastructure, or connected networks.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the App.
  • Use automated bots, scrapers, or crawlers to access the Services or harvest other users' data.

We reserve the right, but assume no obligation, to investigate violations and restrict, suspend, or permanently terminate accounts that breach these Terms.

8.   Privacy & third-party services

Your privacy is paramount to us. Our collection and use of personal data are governed by our Privacy Policy, which is incorporated into these Terms by reference.

Certain features of VOQL rely on third-party service providers (such as cloud storage providers, automated AI speech transcription models, SMS verification networks, and push notification gateways). Your use of the App acknowledges that service delivery depends on the continuous operation of these underlying systems.

9.   Intellectual property rights

The VOQL platform, including its brand name, logos, visual designs, graphics, audio streaming software, user interface, and all proprietary software and code, are owned by or licensed to VOQL Ltd. and are protected by copyright, trademark, and other applicable intellectual property laws.

Subject to your compliance with these Terms, we grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to download and use the VOQL App on your personal mobile devices.

10.   Disclaimer of warranties

VOQL IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, VOQL LTD. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Because voice transmission and Live Listening depend on wireless cellular networks, internet connections, and device operating systems, we cannot guarantee that messages or live audio streams will always be delivered instantaneously, securely, uninterrupted, or without error.

11.   Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOQL LTD., ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF DATA, LOSS OF GOODWILL, OR SERVICE INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) VOQL.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO VOQL FOR USE OF THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100 USD) OR EQUIVALENT LOCAL CURRENCY.

12.   Indemnification

You agree to defend, indemnify, and hold harmless VOQL Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of VOQL; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party right, including intellectual property or audio recording and privacy laws.

13.   Termination & account deletion

You may stop using VOQL or delete your account at any time through the in-app settings or by contacting voqlapp@gmail.com.

We may suspend or terminate your access to VOQL at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in illegal activity, or created legal liability for VOQL or other users.

14.   Governing law & dispute resolution

These Terms and any disputes arising out of or related to VOQL shall be governed by and construed in accordance with the laws of England and Wales, without giving effect to any principles of conflicts of law.

Before initiating formal legal proceedings, you and VOQL agree to first attempt to resolve any dispute, claim, or controversy informally by contacting voqlapp@gmail.com.
